Jim Corsiglia

Of Counsel

Jim Corsiglia provides advice on (i) transaction negotiations and diligence relating to corruption, money laundering, and sanctions; (ii) corporate compliance policies and programs; and (iii) corporate investigations. Prior to coming to Gelber + Santillo PLLC, Mr. Corsiglia worked for the international law firm Cleary Gottlieb Steen & Hamilton LLP.

Mr. Corsiglia has advised many of the world’s largest corporations, sovereign wealth and private equity funds, and family offices. Given this experience, Mr. Corsiglia can provide “big firm” sophistication but with greater “hands on” attention and far lower cost than large firms can offer.   • conducting corruption diligence / investigation projects (often supervising investigative firms or forensic accountants) for M&A, securities, loan, and other transactions;
  • negotiating the corruption, money laundering, and sanctions terms in a wide range of M&A, JV, underwriting, loan, and fund transactions;
  • conducting corruption risk assessments;
  • providing advice on corruption risk issues (e.g., gifts and entertainment);
  • drafting and revising compliance policies;
  • advising on the structure and composition of compliance programs; and
  • providing anticorruption training for corporate boards, executives, and employees.

Mr. Corsiglia also provides advice on Corporate Transparency Act matters, beneficial ownership reporting, and conflict minerals reporting.

In addition to his work for Cleary Gottlieb, Mr. Corsiglia was based in Bulgaria for two years where he worked as a volunteer on legal reform projects, particularly anticorruption matters, in Eastern Europe and the Middle East for the American Bar Association. He returned to Cleary Gottlieb in 2002.
